THE JOB Services; jobs search, job posting and networking platforms including any other associated products, activities and services owned and operated by THE JOB (“THE JOB Services”),which shall be available to Business, People and any other users.

By accessing, using or signing up to the Site, THE JOB Services or other services rendered by THE JOB, you acknowledge that you are aware of all terms and conditions set forth herein(“Terms and Conditions of Use”) and the privacy policy, which details how your data is collected, used and shared (“Privacy Policy”), and agree to be bound by these Terms and Conditions of Use and the Privacy Policy regardless if you are a Member or Visitor of THE JOB Services.Any new features, upgrades, variations or new packages which are added to the current services shall also be subject to these Terms and Conditions of Use and the Privacy Policy. Unless otherwise stated, if you engage to any other particular services rendered by THE JOB or offered on the Site, you acknowledge that additional terms may apply.

1. TERMINOLOGY

In these Terms and Conditions of Use, the following words and expressions have the respective meanings set forth below:

  • People means user who looks for career opportunities, interest in expand network and shares his/ her own professional milestones and personal information to THE JOB Services.
  • Member means a registered user of THE JOB Services.
  • Business means user who posts job advertisement, searches for professional, promotes jobs related activities through the Site.
  • Site means THE JOB’s website, mobile application including but not limited to any other channels, means and platforms that are currently, or will in the future be developed, created, used, owned or operated by THE JOB.
  • THE JOB means THE JOB Co., Ltd., of THE JOB Co., Ltd.’s subsidiaries and affiliates, including, but not limited to, any other entity or person, in any activity authorized or permitted by THE JOB Co., Ltd..
  • Visitor means an unregistered user of THE JOB Services.

2. INTERPRETATION

In these Terms and Conditions of Use, unless the context otherwise requires:

  • (a) recitals, headings, and under linings are for convenience only and do not affect the interpretation of these Terms and Conditions of Use;
  • (b) words importing the singular include the plural and vice versa;
  • (c) words importing a gender include every gender;
  • (d) any expression importing a natural person includes any corporation or other body corporate, partnership, association, public authority, two or more persons having a joint or common interest, or any other legal or commercial entity or undertaking;
  • (e) references to any document (including these Terms and Conditions of Use) include references to that document as amended, consolidated, supplemented, novated or replaced;
  • (f) references to any person or any party include references to their or its respective successors, permitted assigns or substitutes, executors and administrators;
  • (g) a warranty, representation, covenant, liability, obligation or agreement given or entered into by more than one person binds them jointly and severally;
  • (h) references to law include references to any constitutional provision, treaty, decree, convention, statute, act, regulation, rule, ordinance, proclamation, subordinate legislation, by-law, judgment, rule of court, practice direction, guideline, code, order, approval and standard;
  • (i) references to any law are references to that law as amended, consolidated, supplemented or replaced and includes references to regulations and other instruments under it;
  • (j) references to a person include references to an individual, company, body corporate, association, partnership, joint venture, trust and governmental agency;
  • (k) references to a “business day” is to a day (not being a public holiday in Bangkok or Saturday or Sunday) on which banks licensed to carry on banking business are open for business in Bangkok, Thailand and any reference to a “day”, “week”, “month” or “year” is to that day, week, month or year in accordance with the Gregorian calendar;
  • (l) if a period of time is specified from, after or before a given day or the day of an act or event, it is to be calculated exclusive of that day and if any period of time falls on a day which is not a business day, then that period is to be deemed to only expire on the next business day;

3. RESPONSIBILITIES

In relation to the use of THEJOB Services, you agree that:

  • (a) you are responsible for keeping your username and password secure and maintaining the confidentiality of your username, password and account. You are solely and fully responsible for all activities that occur under or actions taken in connection with your account, whether or not you have authorized such activities or actions. THE JOB cannot and shall not be liable for any loss or damage from your failure to maintain the security of your username, password or account;
  • (b) you must provide and keep your information including your full legal name,contact details and payment information accurate and up to date for notices and any further communications between you and THE JOB;
  • (c) you must not provide or use false, misleading, inappropriate, inaccurate, threatening or defamatory information or any information, content or materials that may be in breach of any laws, regulatory requirements, or any other person’s rights including but not limited to intellectual property rights in any manner whatsoever;
  • (d) you acknowledge that THE JOB may take reasonable steps to verify the accuracy of any information you have provided toTHE JOB or used through THE JOB Services at any time without prior notice;
  • (e) you must promptly notify THE JOB of any unauthorized uses of your account or any other security breaches; and
  • (f) you shall be in accordance with these Terms and Conditions of Use, Privacy Policy, any applicable agreements related hereto and all applicable laws, regulations, rules or directions made by any relevant authorities or governments.

4. SHARING OF INFORMATION

You acknowledge that your information (e.g. People’s profile, job posting and company business profile etc.) will be shared and seen in many ways through THE JOB Services.However,in the Privacy Policy,THE JOB provides you a number of choices through privacy setting tools that allows you to determine or control the ability to access by Members and Visitors and how and how muchTHE JOB can use and share your personal data.

You may also share data on THE JOB Services only with someone acting on your behalf, provided that you are responsible for ensuring their respective compliance with these Terms and Conditions of Use, the Privacy Policy and any applicable agreements, laws and regulations.

THE JOB may revise or remove any information that is considered to be illegal, inappropriate, or otherwise likely to bring a third-party liability claim to THE JOB.

At THE JOB absolute and sole discretion, THE JOB Services may be modified or discontinued whether the whole or any part thereof at any time without prior notice. You therefore agree that any data or content you have provided through THE JOB Services may not permanently be stored, kept or shown on the Site.


5. INTELLECTUAL PROPERTY RIGHTS

You grant to THE JOB a non-exclusive, worldwide, royalty-free, sub-licensable and transferable license to use, copy, modify, process, distribute and publish your content, data and posting in connection with the performance of THE JOB Services including but not limited to marketing and promotional purposes without requiring any further consent, notice or compensation to you or any other persons.You represent and warrant that you own or have all necessary rights including intellectual property rights to any data, content, Posting, trademarks or logos that you have used through the Site or in connection with THE JOB Services.

If you provide suggestions or feedback to THE JOB about THE JOB Services, you agree that THE JOB can use and share such suggestions or feedback for any purpose without requiring any further consent, notice or compensation to you or any other persons. THE JOB reserves all of its intellectual property rights in THE JOB Services.

You recognize and acknowledge that all intellectual property rights associated with or contained in THE JOB Services and any other services rendered by THE JOB and used in the operation of THE JOB Services and any documents, data, or other related materials furnished by THE JOB in connection with or any data made available via the Site or THE JOB Services, including without limitation, all updates, upgrades, enhancements, new versions, improvements, developments, or new or other services or technology, belong solely to THE JOB or were duly licensed to THE JOB, and THE JOB is and shall remain sole owner of the same, and it is hereby expressly agreed that nothing in these Terms and Conditions shall constitute or be considered as constituting a transfer or license of any of such intellectual property rights or any part thereof to you or any third party. Neither you nor THE JOB will gain by virtue of THE JOB Terms and Conditions of Use any rights of ownership of trademarks and any other intellectual property rights owned by the other.


6. LIABILITY

In connection with the use of THE JOBServices, you acknowledge that THE JOB shall not be responsible to any persons for any information or content contained on the Site or THE JOB Services which may be false, inaccurate, out of date, incomplete, improper, misleading, or illegal. You also agree that THE JOB shall not be responsible for any misuse of THE JOB Services by anyone. You understand and accept that your use (whether in the manner stipulated or otherwise) of THE JOB Services is at your own risk.


7. LIMIT OF LIABILITY

TO THE FULLEST EXTENT PERMISSIBLE AND SUBJECT TO APPLICABLE LAW, NOTWITHSTANDING ANY OTHER PROVISION HEREIN AND REGARDLESS OF WHETHER THE CLAIM OR FORM OF ACTION IS IN CONTRACT, TORT OR ANY OTHER FORM OF ACTION WHATSOEVER, INCLUDING, WITHOUT LIMITATION, NEGLIGENCE OF THE JOB OR ITS AFFILIATES, IN NO EVENT WHATSOEVER SHALL THE JOB BE LIABLE FOR ANY INDIRECT, PUNITIVE OR CONSEQUENTIAL LOSSES OR DAMAGES OR FOR ANY LOSS OF DATA, OPPORTUNITIES, REVENUE OR PROFIT, SUFFERED OR INCURRED BY YOU ARISING OUT OF OR IN CONNECTION WITH THE JOB SERVICES OR THESE TERMS AND CONDITIONS OF USE.

NOTWITHSTANDING ANY OTHER PROVISION HEREIN AND REGARDLESS OF WHETHER THE CLAIM OR FORM OF ACTION IS IN CONTRACT, TORT OR ANY OTHER FORM OF ACTION WHATSOEVER, INCLUDING, WITHOUT LIMITATION, NEGLIGENCE OF THE JOB, IN NO EVENT WHATSOEVER SHALL THE JOB'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICES HEREIN EXCEED:

  • (a) FIVE TIMES THE TOTAL FEES PAID OR PAYABLE TO THE JOB DURING THE ONE MONTH PERIOD BEFORE AN INCIDENT OCCURS (IF ANY), OR
  • (b) USD $150.00.

WHICHEVER IS THE LOWER AMOUNT.


8. INDEMNITY

You agree to defend, indemnify and hold harmless THE JOB, its affiliates and each of their directors, officers, agents, contractors, partners and employees from and against any damages, losses, claim, liability, costs and expenses, including but not limited to, reasonable attorneys' fees,resulting from or in connection with your use of THE JOB Services or the Site, or any breach of your obligations or of any terms herein (including but not limited to any representation or warranty) or of any laws or rights of any third party.


9. DISCLAIMER OF WARRANTIES

To the fullest extent permissible and subject to applicable law, THE JOB disclaims all warranties, explicit or implicit, including but not limited to:

  • (a) allimplied warranties and representations of satisfactory quality, merchantability, fitness of THE JOB Services for a particular purpose;
  • (b) accuracy or reliability of any data or content contained in the Site (all data and content contained in the Site is provided “as-is” and “as available” basis);
  • (c) efficiency of the function of THE JOB Services which will be uninterrupted or error-free; and
  • (d) the Site is free of any virus or other damaging components.

10. FORCE MAJEURE

Without prejudice to the generality of the foregoing, THE JOB shall not be responsible to you or anyone for any failure or delay to fulfill any obligations herein arising directly or indirectly from causes beyond its control, including, without limitation, by reason of acts of God, acts of war, connection failure, computer system malfunctions, power outage, rebellion, riots, fire, explosion, storm, flood, accident, insurrection, labor disputes, acts of third parties, acts of federal or state government, judicial action or other catastrophes or other similar occurrence beyond the control of THE JOB.


11. TERMINATION

The Terms and Conditions of Use herein shall be effective until terminated by either you or THE JOB at any time without notice.

THE JOB,in its absolute and sole discretion, reserves the right to immediately terminate any part or all of THE JOB Services or suspend your use of THE JOB Services or the Site at any time without notice if we find that any data you have provided or used may be incorrect, improper or in breach of any provisions of these Terms and Conditions of Use, laws or regulations.

If either you or THE JOB terminates these Terms and Conditions of Use, or your use of THE JOB Services or the Site is suspended by THE JOB, you agree that THE JOB shall not be liable to you or any third party for such termination or suspension of THE JOB Services, the Site or any part thereof and any fees or amount paid by you shall not be refunded.

Any expiry or termination of these Terms and Conditions shall be without prejudice to any rights or remedies which you or THE JOB may be entitled thereto and shall not affect any other rights or liabilities which have already accrued to either you or THE JOB.

Upon termination of these Terms and Conditions, you shall promptly cease to use THE JOB Services and the Site.

You acknowledge and agree that the obligations contained in Clause 5 (INTELLECTUAL PROPERTY RIGHTS), Clause 7 (LIMIT OF LIABILITY),Clause8 (INDEMNITY) and Clause 13 (GOVERNING LAW AND SETTLEMENT OF DISPUTE)shall continue to survive and operate beyond the expiry and termination of these Terms and Conditions of Use.You also agree that THE JOB’s rights to disclose your suggestions or feedback provided to THE JOB and Members and/or Visitors’ rights to further re-share data and content you posted or shared viaTHE JOB Services to the extent copied or re-shared prior to the termination shall also survive the termination of these Terms and Conditions of Use and THE JOB Services.


12. REPRESENTATION AND WARRANTY

You represent and warrant to THE JOB that:

  • (a) subject to all applicable laws, you have authority and capacity to use THE JOB Services and the Site;
  • (b) if you are accessing or using THE JOB Services on behalf of a business or third party, you represent and warrant that you are duly authorized to do so and to bind that business or third party to these Terms and Conditions of Use, Privacy Policy, Terms and Conditions of Services and any other agreements which may be applicable hereto;
  • (c) you must provide your full legal name, current address, a valid email address, and any other information that may be required;
  • (d) all information provided by you must be true, accurate, up to date and complete;
  • (e) you have never been terminated from using THE JOB Services or the Site; and
  • (f) your acceptance of the Terms and Conditions of Use and any performance of your obligations hereunder have been duly authorized and that these Terms and Conditions of Use is valid and legally binding upon you, the business or third party (as the case may be) you represent for and enforceable in accordance with its terms.

13. GOVERNING LAW AND SETTLEMENT OF DISPUTE

These Terms and Conditions of Use, any rights and obligations hereunder shall be governed by and construed in accordance with the laws of Thailand, without regard to conflict of law principles.

You and THE JOB shall attempt in good faith to resolve any dispute or claim arising out of or in relation to the Terms and Conditions or the use of this Site. If the dispute cannot be settled amicably within thirty (30) days from the date on which either party has served written notice on the other of the dispute, then such dispute including any question regarding existence, validity or termination of the Terms and Conditions or the use of this Site, shall be referred to and finally resolved by arbitration administered by Thailand Arbitration Center in accordance with the Arbitration Rules of the Thailand Arbitration Center for the time being in force, which rules are deemed to be incorporated by reference in this Clause. The seat of the arbitration shall be Bangkok, Thailand. The Tribunal shall consist of three arbitrators. The language of arbitration shall be in English. The award of the arbitrators will be final and binding upon each of the Parties.


14. RELATIONSHIPS

Nothing in these Terms and Conditions of Use shall constitute or be deemed to constitute a partnership, employment relationship, or joint venture between you and THE JOB or constitute or be deemed to constitute you as an agent of THE JOB for any purpose whatsoever and you shall have no authority or power to bind THE JOB or to contract in the name of and create a liability against THE JOB in any way or for any purpose.


15. CHANGE OF TERMS AND CONDITIONS OF USE

THE JOB, in THE JOB absolute and sole discretion,reserves the right to change, vary, modify or update these Terms and Conditions of Use, whether in whole or any part thereof, from time to time without prior notice to you. As such, you understand and acknowledge that you shall review these Terms and Conditions of Use on a regular basis. For any material changes, such changes shall be informed to you through THEJOB Services, or any other channels determined by THE JOB. If you do not agree to the changes, you may terminate your account and cease to use THE JOB’s services. By continuing to use THE JOB Services or the Site after such changes are effective signifies that you accept and agree to the changes.


16. COMMUNICATION

You agree that any notices that THE JOB will send to you can be sent either through THE JOB Services or to the email address or mailing address you have provided to THE JOB. You agree to always keep THE JOB updated if any changes on your contact details.


17. MISCELLANEOUS

  • (a) In the event any provisions hereof shall for any reason be held to be invalid, illegal or unenforceable, the said provision shall be severable from the other provisions of these Terms and Conditions of Use and the remaining provisions shall not be affected and shall remain in full force and effect. The invalid, illegal or unenforceable provision(s) may further be replaced by a mutually acceptable provision(s), which being valid, legal and enforceable, comes closest to the intention of the parties underlying the invalid, illegal or unenforceable provision(s).
  • (b) These Terms and Conditions of Use are made in English which is considered to be the authentic text. Any difficulties and uncertainties in interpretation arising shall be solved by reference to this text. These Terms and Conditions of Use in English shall prevail over any translation made hereof.
  • (c) There shall be no waiver of any term, provision or condition of these Terms and Conditions of Use unless such waiver is evidenced in writing and signed by the waiving party. No omission or delay by either party in exercising any of its rights shall be treated as a waiver thereof, nor shall any single or partial exercise of right preclude any other or further exercise thereof or any exercise of any other right. For the avoidance of doubt it is agreed that a waiver of a right on one occasion shall not constitute a waiver of such right in the future.
  • (d) Without prior written consent of THE JOB, you shall not assign or transfer any rights hereof to any persons whether in whole or in part, whether voluntarily or involuntarily. THE JOB shall have the right to assign or transfer this agreement between you and THE JOB to THE JOB affiliates or any third party and no consent from you shall be required for such assignment or transfer.
  • (e) These Terms and Conditions of Use including any other agreements in connection with THE JOB Services constitute the entire agreement between you and THE JOB relating to the subject matter hereof and supersedes all previous representations and agreements whether written or oral.
